Terms of Use (Reafino)

PREFACE

Welcome to Reafino, the platform that connects real-world economic activities with decentralized finance by embedding blockchain-based solutions into diverse operations, all built on the Cardano blockchain. The protocol consists of free, public, open-source or source-available software including a set of immutable and autonomous smart contracts deployed on the Cardano blockchain.

Please read these Terms of Use (the “Agreement” or “Terms”) carefully, along with any other policies or notices and our privacy policy located at (“site”), as they lay out the rules, terms and guidelines for you to follow when using and accessing our website Reafino (“Reafino” or the “site”) (collectively, the “services”). This Agreement governs your use of Reafino and constitutes a legally binding agreement between each user (“you”, “your”, or “user”) and us (“we”, “us” or “our”).

Reafino Protocol which is run independently by smart contract deployed on the Cardano blockchain. While the software code has undergone testing and continues to be improved by feedback from the developer community, open-source contributions, we cannot guarantee that there will be no bugs in the protocol, Upgrade and modifications to the protocol are or will be managed in a community driven way through decentralized governance.

1. How You Accept These Terms

• 1.1By accessing or using Reafino protocol in any manner, you acknowledge that you have read, understood, and agree to these Terms, as well as the accompanying privacy policy which is accessible at (“site”)
• 1.2Note that we reserve the right to modify the Terms at any time in our sole discretion. Any changes to the Terms will be posted on our website at (“site”) and will become effective immediately upon posting. It is your responsibility to check for updates to this Agreement periodically.
• 1.3If you do not agree to this Terms of use policy to this Agreement, you should not use Reafino protocol. Your continued use of (“site”) after any amendment or modification to the Agreement constitutes your consent to the amended or modified Agreement.
• 1.4To your use of the Reafino website or any third party website connecting to it (collectively the “site”) the condition you agree that you;
  • (i)“are at least 18 years of age, or the age of legal majority in your jurisdiction”
  • (ii)are not barred from using the Protocol, the site, or any connected services under any law applicable to you;
  • (iii)will not interfere with the intended operation of the Protocol or site, including by hacking, fraudulent information or tokens, or attempting to overload, “flood”, or “crash” the protocol or site;
  • (iv)you can only use Reafino the (“site”) to extend the laws of your jurisdiction not bar you from doing so, please make sure these Terms are in compliance with all laws, rules and regulations that apply to you.
  • (v)you may not access or use the Platform if you are a resident or national of a jurisdiction where participation in decentralized finance or crypto-based crowdfunding is prohibited

2. Services Offered

Reafino (the “site”) operates a decentralized platform built on the Cardano blockchain that facilitates real-world economic activities through blockchain-based financial tools.

The services offered on the platform include, but are not limited to, the following:

1. Participate in all-or-nothing crowdfunding campaigns
2. Contribute to decentralized investment pools with profit sharing
3. Access event-linked insurance solutions triggered by verifiable events
4. Engage in donation and raffle-style fundraising initiatives

All transactions on the platform are facilitated and executed through smart contracts to promote transparency, automation, and security.

Reafino (the “site”)’s role is strictly limited to providing technical infrastructure and facilitation services. Reafino does not operate, control, verify, guarantee, underwrite, or endorse any project, initiative, investment, insurance product, or fundraising campaign hosted on the platform.

Users acknowledge and accept that participation in any project or transaction is voluntary, at their own risk, and subject to their independent assessment and due diligence. Reafino (the “site”) expressly disclaims all WARRANTIES and LIABILITIES related to the performance, outcome, legality, or success of any activities facilitated through the platform.

Reafino (the “site”) reserves the right to modify, suspend, enhance, or discontinue any existing services or to introduce new services from time to time, without prior notice, in response to technological developments, user needs, regulatory requirements, or operational considerations.

3. User Responsibilities

You are responsible for all your activity in connection with any use of your Reafino account and platform. When using Reafino the (“site”) in accordance with these terms, we grant you a limited, personal, non-commercial, non-exclusive, non transferable, non-assignable, and revocable license to use “site”.

3. By using the Platform, you agree that you will:
   1. (i)Use the platform only for lawful purposes, you will not violate any laws when using “site” including any local, provincial, state, national or international laws or that may apply to you.
   2. (ii)You will not create, submit, promote, or participate in any fraudulent, deceptive, or illegal project or activity through the Platform.
   3. (iii)You are solely responsible for maintaining the security, access, and management of your crypto wallets, private keys, and digital assets. Reafino will not be liable for any loss or compromise of your assets.
   4. (iv)You should provide complete, accurate, and up-to-date information during any Know Your Customer (KYC) verification or onboarding process, and promptly update any changes if required.
   5. (v)You agree not to bypass, circumvent our security & system, and agree not to “scrape”, “decipher”, ”decompile” ,“ disassemble”, “reverse engineer” or otherwise attempt to derive any algorithms of any part of “site”.
   6. (vi)You may not upload, post, transmit or otherwise make available through “site” any content that infringes the Intellectual property right of any party and not to violate legal rights such as rights of privacy of others.
   7. (vii)You will not display any content on “site” that contains any hate-related or violent content or contains any other material, products or services that violate or encourage conduct that would violate criminal laws, any other applicable laws or rights.
   8. (viii)You agree not to use the “site” and the smart contract to advertise or offer to sell goods and services which are not included in the purpose of the platform.
4. In addition to above, you are not permitted to host, display, upload, send, modify, publish, transmit, update or share any information that:
   1. (i)Belongs to another person and to which the user does not have any right.
   2. (ii)Is obscene, pornographic, pedophilic, invasive of another’s privacy including insulting or harassing on the basis of gender, racially or ethnically objectionable, relating or encouraging money laundering or gambling or an online game that causes user harm, or promoting enmity between different groups on the grounds of religion or caste with intent to incite violence.
   3. (iii)Is harmful to child.
   4. (iv)Threatens the unity, integrity, defence, security or sovereignty of any state, its friendly relations with foreign states, or public order, or causes incitement to the commission of any cognizable offence, or prevents investigation of any offence, or is insulting other nation.
   5. (v)Violates any law for the time being in force.

4. Fees and Payment Terms

Reafino the (“site”) may charge platform service fees, transaction fees, administrative fees, or other charges associated with the use of specific services, including but not limited to crowdfunding campaigns, investment pools, event-linked insurance pools, and engagement initiatives facilitated through the Platform.

All such fees shall be deducted automatically through the smart contracts governing the respective transactions, at the time of fund release, distribution, or settlement.

You acknowledge and agree that any fees paid to the Platform are non-refundable, irrespective of project success, campaign fulfilment, investment performance, insurance event outcome, or user satisfaction and “site” reserves the right to revise its fee structure at any time in its sole discretion.

Users are solely responsible for any additional blockchain network fees ("gas fees"), third-party processing charges, or applicable taxes related to their transactions or participation on the Platform.

You are responsible for complying with applicable laws (including tax laws) in connection with usage of the Smart contracts, the site, protocol or interaction with any third party staking protocol. You agree that we are not responsible for determining whether or which laws may apply to said interaction.

You are solely responsible for reporting and paying any taxes arising from your usage of the smart contract, site, or interaction with any third party staking protocol.

5. Know Your Customer and Anti-Money Laundering

We may reserve the right to conduct your customer and Anti-money Laundering checks on you if deemed necessary by us (at our sole discretion) or such checks become required under applicable laws in any jurisdiction. Upon our request, you should immediately provide us with information and documents that we, in our sole discretion, deem necessary or appropriate to conduct “know your customer” and “AML” checks. Such documents may include, but are not limited to, passport, driver’s licenses, utility bills, photographs of associated individuals, government identification cards.

Notwithstanding anything herein, we may, in its sole discretion, refuse to provide access to “site” or the site to you until such requested information is provided, or in event that, based on information available to us, you are suspected of using the Smart contracts, sites or protocol in connection with any money laundering, terrorism financing, or any other illegal activity.

We shall be entitled to use any possible effort for preventing money laundering, terrorism financing or any other illegal activity, including without limitation blocking of your access to smart contract, “site” and providing your information to any regulatory authority.

6. No Warranty and Limitation of Liability

The platform, and all services offered through it, are provided on an “as is” and “as available” basis without any representation or warranties of any kind, express or implied.

Reafino the “site” makes no warranties or guarantees regarding the accuracy, reliability, suitability, performance, availability, or completeness of the platform, the smart contract, the blockchain network, any projects listed, or any outcome resulting from user participation.

To the maximum extent permitted by applicable law, Reafino disclaims all implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing, usage, or trade practice.

Users acknowledge and accept that participation on the platform involves inherent risks, including but not limited to; (a) volatility of virtual assets and cryptocurrencies, (b) potential failures, bugs, vulnerabilities, or interruptions in smart contracts or blockchain protocols, (c) delays or failures in transactions, (d) regulatory action or changes in applicable law, (e) loss or theft of digital assets due to cyberattack, wallet compromises or technical malfunction.

In no event shall Reafino the (“site”), its affiliates, directors, employees, agents, or service providers be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, data, goodwill, use, or other intangible losses, arising out of or in connection with your access to, use of, inability to use, or reliance on the Platform or its services.

You represent that you have sufficient knowledge, market sophistication, professional advice and experience to make your own evaluation of the merits and risks of any interaction with third party staking protocols or site or blockchain protocol and the underlying digital assets.

You accept all consequences of participating in such interaction, including the risk that you may lose access to your digital assets indefinitely. All decisions to interact with any third party staking protocol are made solely by you.

Under no circumstances will the operation of all or any portion of the smart contracts, the site or protocol be deemed to create a relationship that includes any management of any assets, or the provision or tendering of investment advice.

Neither the smart contract, “site” or the protocol holds in custody, store, send or receive any of your digital assets. This is because your digital assets exist only by virtue of the ownership record maintained on the blockchain network. Any transfer of digital assets occurs within the Cardano blockchain network, and not on the smart contract, site or protocol.

The Smart Contract may contain security vulnerabilities, errors, failures, bugs or economic loopholes which may be exploited by third parties. Interaction with these smart contracts are entirely at your own responsibility and liability and the company is not a party to the Smart Contract.

7. Suspension and Termination of Services

Reafino the (“site”) reserves the right, at its sole discretion, to suspend, restrict, or terminate your access to the Platform, participation in any campaigns, pools, insurance products, or any other services offered, without prior notice, for reasons including, but not limited to:

• Violation of these Terms of Service, the Privacy Policy, or applicable laws and regulations;
• Failure to comply with Know Your Customer (KYC) or Anti-Money Laundering (AML) requirements, where applicable;
• Engagement in fraudulent, abusive, deceptive, or illegal activities through the Platform;
• Submission or promotion of misleading, false, or fraudulent project content;
• Use of the Platform from restricted jurisdictions or in a manner inconsistent with regulatory requirements;
• Compromise of Platform security, attempted hacking, interference with smart contracts, or abuse of the blockchain infrastructure;
• Actions that threaten the stability, integrity, or reputation of Reafino, the Cardano blockchain network, or associated third-party services;
• Instructions received from competent legal, regulatory, or governmental authorities requiring suspension of services;
• Force majeure events, technical failures, smart contract vulnerabilities, or other operational exigencies that make service continuation impractical.

In the event of suspension or termination:

• Your access rights to the Platform and participation in any active campaigns or pools will immediately cease.
• Reafino the (“site”) is under no obligation to refund any platform fees, transaction costs, or related charges already paid.
• Reafino the (“site”) may take technical steps to suspend transactions, restrict wallet interactions, or freeze project listings where legally justified and technically feasible.
• Reafino the (“site”) shall not be liable to you or to any third party for any losses, including lost profits, data, goodwill or other intangible losses, arising from or related to the suspension or termination of your access to the platform or its “site” services.

8. No Fiduciary Duties

You acknowledge and agree that Reafino the (“site”) is not your agent, advisor, broker, trustee, fiduciary, or representative. No fiduciary relationship exists between you and Reafino or any of its affiliates.

Your use of the Platform is solely at your own initiative, discretion, and risk. You must conduct your own due diligence and obtain any professional advice you deem necessary before participating in any campaign, investment pool, insurance product, or other activity through the Platform.

Reafino the “site” makes no personal recommendations, financial advisory services, or investment guarantees and assumes no fiduciary or similar obligations to any user.

9. Force Majeure

Reafino shall not be liable for any failure or delay in the performance of its obligations or the delivery of services under these Terms arising from or attributable to acts, events, omissions, or accidents beyond its reasonable control, including but not limited to:

• Blockchain network failures (including Cardano protocol issues)
• Cyberattack, hacking incident or security breaches
• Smart contract bugs or exploits
• Acts of God, flood, fire or other natural disasters
• War, terrorism or civil disturbances
• Pandemic outbreak
• Changes in laws, government directives
• Power outage, telecommunication failures or internet disruption

In any such event, Reafino reserves the right to suspend or modify Platform operations without liability, and users shall have no claims for damages or losses arising from such suspension or modification.

10. DAO Governance

Reafino is committed to exploring the transition of certain governance functions to a decentralized autonomous organization ("DAO") structure in the future, subject to technical, legal, and regulatory feasibility. In the event of such a transition:

• 10.1Reafino the “site” may delegate decision-making authority regarding platform upgrades, community funds, and governance parameters to token holders or DAO participants.
• 10.2These Terms of Service, including your rights and obligations, may be updated to reflect the new decentralized governance framework.
• 10.3Continued use of the platform following such a transition will constitute your acceptance of the updated terms and any applicable DAO governance rules.

11. Governing Law and Dispute Resolution

Reafino the (“site”) is currently in the process of finalizing its legal structure, jurisdictional strategy, and governance framework, which may involve centralized corporate operations, decentralized autonomous organization (DAO) governance, or a hybrid model.

Accordingly, the applicable governing law and dispute resolution mechanisms for the Platform will be updated and specified once the legal structure is finalized.

Users acknowledge that by participating during the early access, beta phases, they accept that any legal rights and obligations arising from use of the Platform are subject to future clarification and formalization.

Updated Terms of Service including definitive governing law and dispute resolution provisions will be communicated prior to full launch or commercial deployment.

12. Third Party Services and Content

The “site” may contain links to third-party websites or services that are not owned or controlled by us.

We utilize links and other tools to connect users to third party services and websites (“Third Party Services”). We have no control over, and assume no liability or responsibility for, the content, privacy policies, or practices of the Third Party Services, or the accuracy, reliability of those services.

Users who access or use a third party service through Reafino are solely responsible for complying with the terms and policies of these third parties. We strongly advise you to read the terms and conditions and privacy policies of any third party service that you visit.

In no event shall a reference to a third party product or service (including, but not limited to, providing a description or reference via hyperlink) be construed as an endorsement of such third party product or service by us. We retain the exclusive right to add to, modify, or cancel the availability of any third party service at any time.
